Terms of Service

Welcome to AIPennyPal (the "Service"), a product of WonderWorks Group, LLC, a Wyoming limited liability company ("Company", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of AIPennyPal.com, our applications, and related services. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility & Accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly at support@aipennypal.com of any unauthorized use.

2. The Service

AIPennyPal helps you log, categorize, and analyze personal financial information using natural language and AI. The Service is provided for informational and personal-finance organization purposes only. It is not financial, investment, tax, accounting, or legal advice. You are solely responsible for decisions made based on information you input or receive.

3. Acceptable Use

You agree not to: (a) misuse, reverse-engineer, or attempt to gain unauthorized access to the Service; (b) upload unlawful, infringing, or harmful content; (c) use the Service to violate any law or third-party right; (d) interfere with the integrity, performance, or security of the Service; or (e) resell, sublicense, or commercially exploit the Service without our written consent.

4. Plans, Pricing & Free Tier

We offer a free tier with limited features, as well as paid plans billed on a monthly, annual, or one-time/lifetime basis. Pricing, features, and limits are described at the point of purchase and may change from time to time. Changes to recurring pricing will be communicated in advance and will apply at the start of your next billing period.

5. Free Trials & Automatic Conversion

Paid plans may be offered with a free trial. By starting a trial, you authorize us (and our payment processor) to store your payment method and to automatically charge the applicable subscription fee at the end of the trial unless you cancel before the trial ends. The trial length, features, and conversion price will be shown to you before you start the trial.

6. Subscriptions, Billing & Auto-Renewal

Paid subscriptions are sold on a prepaid basis (monthly or annual) and automatically renew at the end of each billing period using the payment method on file, at the then-current rate, until cancelled. By providing a payment method, you authorize us and our third-party payment processors to charge that method for all fees, taxes, and other amounts due. You are responsible for keeping your payment information current. If a charge is declined, we may suspend or terminate paid access.

One-time or lifetime purchases are billed as a single charge at the time of purchase and grant the access described at the point of sale.

7. Cancellation

You may cancel a recurring subscription at any time from your account settings or by emailing support@aipennypal.com. Cancellation stops future renewals. Your subscription remains active and you retain access to paid features through the end of the prepaid billing period; it will not renew thereafter.

8. No Refunds

All fees are non-refundable. Except where required by applicable law, we do not provide refunds or credits for partial subscription periods, unused time, downgrades, features you did not use, or accounts terminated for violation of these Terms. We follow industry best practices to keep the Service available, and your subscription remains valid through the prepaid date you purchased.

9. Taxes

Fees are exclusive of applicable taxes unless otherwise stated. You are responsible for any sales, use, VAT, GST, or similar taxes associated with your purchase, other than taxes based on our net income.

10. Changes to the Service or Fees

We may modify, suspend, or discontinue features at any time. We may also change subscription fees; we will provide reasonable advance notice (such as by email or in-app notice) and the new pricing will take effect at your next renewal. Continued use after changes take effect constitutes acceptance.

11. Your Content & License

You retain ownership of the information and content you submit ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and otherwise use Your Content solely to operate, improve, and provide the Service to you. We may use de-identified or aggregated data for analytics and product improvement.

12. AI Output

The Service uses artificial intelligence to generate categorizations, summaries, and insights. AI output may be inaccurate or incomplete. You are responsible for reviewing AI-generated content before relying on it. We make no warranty that any AI output is correct, suitable, or fit for a particular purpose.

13. Third-Party Services

The Service may interoperate with third-party services (e.g., authentication, payments, analytics, AI model providers). Your use of those services is governed by their own terms, and we are not responsible for third-party services.

14. Termination

You may stop using the Service at any time. We may suspend or terminate your account if you violate these Terms, fail to pay fees, or use the Service in a way that could cause us legal or operational harm. Upon termination, your right to use the Service ends; sections that by their nature should survive (including payment obligations, disclaimers, limitations of liability, and dispute resolution) will survive.

15. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WONDERWORKS GROUP, LLC OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

17. Indemnification

You agree to defend, indemnify, and hold harmless WonderWorks Group, LLC and its officers, members, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, Your Content, or your violation of these Terms.

18. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws principles. The exclusive venue for any dispute that is not subject to arbitration shall be the state and federal courts located in Wyoming, and you consent to personal jurisdiction there. Where permitted, the parties agree to resolve disputes individually and waive any right to participate in a class action.

19. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (such as updating the "Last updated" date and, where appropriate, notifying you in-app or by email). Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
